I have a microatx board with a 733 celeron lying around and a 64 mb mx4000 pci video that I could use. I have 128MB of ram (although I would probably use 256).

I eventually plan to add a newer board & cpu, but I really don't want to rush out right now and get one if I don't need it at this time. Plus a new board will require new ram, etc.

I have about 400 dvds that I am looking to convert to divx (400 dvds and growing takes alot of space) and store on a few hard drives, add about 25 gb of mp3s and play online tv shows like heroes off the nbc website (and maybe the occasional websurfing). I plan on using this as a makeshift media server for home network.

I have 3 fully loaded pcs that can do anything else that I would require like gaming (2.8 P4, 3.2 P4, athlon 64 3800+) so I am not really worried about performace.
